TOP-Z Research Program

Inspired by the mission of “contributing to the health and life of every person”, OMRON HEALTHCARE Co., Ltd. (the “Company”) has been continuously creating innovative products and services for people to maintain their health, prevent diseases and slow down the progression of symptoms as long as possible when they become ill. The Company also makes new attempts toward the complete prevention of cardiovascular diseases and events due to hypertension, represented by stroke and myocardial infarction, which may lead to life-threatening, bedridden conditions.

With social environments constantly changing, however, social challenges to be addressed are also diversifying. To achieve the goal of maximally preventing cardiovascular events, collaboration with fresh and innovative minded researchers, in addition to the existing research network the Company has, is crucial. Therefore, the TOP-Z Program will be open to all innovative research proposals from researchers at universities and public research institutions on research themes specified by the Company. TOP-Z will fund the researchers with the winning research projects and support these researchers to test their innovative ideas.

Research Themes

TOP-Z collects new ideas on the following 3 research themes specified by the Company:

1 Studies to clarify the clinical usefulness (such as applicability for prevention, diagnosis, and treatment, and effectiveness to reduce medical costs) on vital sign data obtained using innovative sphygmomanometers/electrocardiographic devices
2 Studies to clarify the causal relationships (mechanisms) between vital sign data obtained using the above-mentioned devices and various factors, including lifestyles, medications, environments, and genes; identify risks based on such relationships (mechanisms); or evaluate various types of intervention such as drug administration and behavioral therapy
3 Studies to search for useful parameters in areas other than hypertension, such as heart failure and dementia, using sphygmomanometers, electrocardiographic devices, or other noninvasive home measurement devices

Terms and Conditions for an Application to TOP-Z

1. Eligibility

Researchers who belong to universities or public research institution. “Researcher” is generally defined as a person who carries out academic or scientific research as a profession. Family members or any related party of the Company or its affiliates may not apply. Researchers affiliated with universities or public research institutions that endorse political organizations may not be eligible. Researchers or Applicants of the Top-Z Program may be referred to herein as an “Applicant”.

2. Entry Instructions

3. Timing

The Company will accept applications through June 30, 2019.

Timeline Timeline

  1. By June 30
  2. By July 31
  3. The research will be initiated after contract execution.
  4. Around the end of Feb. /Mar. 2020

The results will be announced to the Applicants by e-mail after selection.

4. Research Period

Between 1 to 5 years from the Effective Date (as defined below).
If the project lasts for several years, an annual contract renewal may be required.

5. Research Funding Amount

A total of JPY 100,000,000 (USD 900,000), for about 5 projects/year will be selected and supported.
*The Company will determine these values according to the number and contents of research projects proposed.

6. Selection

Research projects for TOP-Z shall be selected by the Company in its sole discretion.
Applications for TOP-Z do not guarantee the conclusion of any definitive agreements with the Company.
In addition to employees of the Company, the following experts are scheduled to participate in the selection as external advisors:

7. Right to Cancel or Modify

The Company reserves its right to cancel, suspend or modify the TOP-Z Research Program for any reason and in its sole discretion without notice.

8. Release

Applicants to the Top-Z Research Program agree to release and hold the Company harmless from and against any claim associated with the TOP-Z Research Program.

9. Limitation of Liability

The Company shall not be liable for any errors for any reason which may prevent the TOP-Z Research Program from running as described herein, including technical errors with the Company’s website and submission process. Additionally, applications for TOP-Z shall be voluntarily made by Applicants, and the Company shall not bear any responsibility for any disadvantages Applicants may suffer as a result of their application.

10. Information Disclosed

Any information disclosed to the Company by an Applicant (the “Applicant Information”) in an application or through any other means during the course of the TOP-Z Program is voluntary. The Applicant represents that it has the unrestricted right to disclose any Applicant Information, free of all third party claims, and that such disclosure is not in violation of any secrecy agreement with any third party. Additionally, the Applicant represents that the Applicant Information accurately reflects facts and does not contain any false statements. The Company shall be free to use, disclose, reproduce, license or otherwise distribute and exploit the Applicant Information, as the Company sees fit, entirely without obligation or restriction of any kind on account of intellectual property rights or otherwise, except as provided in a separate subsequent written agreement between the parties. Applicant hereby assigns and will cause its agents to assign, to the Company, all right, title and interest in the Applicant Information.

11. Additional Agreements

After the Company selects an Applicant’s Research Plan for a research under the TOP-Z Program, the Company will initiate discussions with the Applicant and the Applicant’s university or institution to enter into additional agreements that will govern the research under the Research Plan. Such additional agreements shall basically include the conditions which all outcomes and intellectual property rights resulting from a research (excluding the existing rights) will be owned by the Company or be exclusively licensed to the Company. The date on which such additional agreements become effective shall be the “Effective Date”. Any work under a chosen Research Plan shall not begin prior to the Effective Date for that Research Plan. The Company reserves the right to cancel a research, in its sole discretion, if it is unable to enter into such additional agreements with terms that are acceptable for the Company.

12. Governing Law

The terms and conditions and its related documents (the “T&Cs”), its subject matter and its formation, are governed by the laws of Japan. All controversies and disputes arising from or related to the T&Cs or the website shall be submitted to and resolved at the Tokyo District Court of Japan. The Applicant and the Company both agree that the courts of Japan will have exclusive jurisdiction.
